JURISDICTION: LUCERNE
1. Scope
[ These terms and conditions apply to all services of
RISK iT! retail solution + trade GmbH (“RISK iT!”) to business customers (B2B).
They particularly concern:

Consulting & Planning
-
digital 3D services, inventory surveys & area measurements
-
Project Management & Coordination
-
Location analysis & expansion consulting
-
Trade in services
These terms and conditions do not apply to contracts for work and services or material deliveries — separate terms and conditions apply to these .]
2. Conclusion of the contract
[ A service contract is concluded through:

Acceptance of an offer,
-
written confirmation,
-
or actual acceptance of the service by the customer.
Offers are valid for 30 days unless otherwise agreed.]
3. Scope of Services
[ RISK iT! provides services on a best-effort basis, without guarantee of economic success.
The outcome of a consultation does not constitute a contract for work and services .]
4. Customer's duty to cooperate
[ The customer agrees to:]

to provide all necessary information in full
-
Ensuring access & appointments
-
Making decisions in a timely manner
Delays caused by the customer may result in additional costs .]
5. Prices & Payment
[ Services will be provided:]

based on effort (hourly rates) or
-
for a fixed price
billed.
Payments are due within the agreed timeframe.
In case of delay, the following applies:
-
Default interest
-
Late payment fees
-
Right to suspend benefits ]
6. Defects & Complaints
[ Services are not subject to any contractual warranty.]
Complaints must be submitted in writing within 10 days of receiving the result .]
7. LIABILITY
[ RISK iT! is only liable for gross negligence or intent.
The following are excluded:

indirect damages
-
Consequential damages
-
lost profit
-
Data loss ]
8. CONFIDENTIALITY
[ All information received will be treated confidentially. ]
9. DATA PROTECTION
[ Data processing is carried out in accordance with the Swiss Federal Act on Data Protection (DSG). ]
10. Applicable Law & Jurisdiction
[ Swiss law applies.]

General Terms and Conditions for Works Contracts (B2B, OR & SIA 118)

JURISDICTION: LUCERNE
1. Scope
[ These terms and conditions apply to all contracts for work and services between RISK iT! and business customers, in particular in the case of:
-
Retail store design and renovations
-
General contractor services
-
Assembly & execution
-
Construction services according to SIA standards
If agreed in writing, the provisions of SIA 118 shall also apply .]
2. Conclusion of the contract
[ A contract for work and services is concluded through:
-
signed offer
-
Contract for work and services
-
Order confirmation ]
3. Scope of Services
[ RISK iT! provides services according to the contract and plans.
Changes during the project require written approval and will incur additional costs .]
4. Dates & Construction Process
[ Appointments are only binding if confirmed in writing.]
Extensions of the deadline will be granted in the following cases:
-
Delays by third parties
-
Approval processes
-
lack of cooperation
-
Force majeure
-
unforeseen structural defects
Compensation for damages due to delay is excluded, except in cases of intent or gross negligence.]
5. Acceptance according to SIA 118 / OR
[ 5.1 ACCEPTANCE
The acceptance will take place:
-
together on site
-
with protocol
-
alternatively, tacitly in accordance with SIA 118
The warranty period begins upon acceptance .
[ 5.2 Obligation to report defects
According to SIA 118:
-
Obvious defects → immediately, at the latest within 7 days
-
Hidden defects → immediately upon discovery
-
Ongoing defects during the construction period → report immediately
Reports must be submitted in writing .
[ 5.3 Warranty (SIA 118 – 2/5 years)
-
2-year warranty for visible and recognizable defects
-
5 years for hidden defects
RISK iT! provides, according to its own choice:
-
Improvement
-
Substitute
-
Price reduction ]
[ 5.4 Grace periods
Before cancellation, replacement performance or price reduction, the customer must:
-> reasonable written grace period

6. Subcontractors
[ RISK iT! is entitled to use qualified partners as subcontractors, but remains fully responsible for the performance of the services. ]
7. LIABILITY
[ Liability only applies in the case of:]

intention
-
gross negligence
Excluded:

indirect damages
-
Consequential damages
-
Loss of use
-
lost profit
Liability is limited to the order value.]
8. Retention of title
[ Materials, components & products remain the property of RISK iT! until full payment.]
RISK iT! is entitled:

to register retention of title
-
[Demanding the removal of unpaid materials ]
9. DATA PROTECTION
[ Data processing in accordance with the DSG. ]
10. Jurisdiction & Law
[ Swiss law, place of jurisdiction Lucerne. ]

1. Scope
[ These terms and conditions apply to the trade, delivery and sale of raw materials, materials and components. ]
2. Conclusion of the contract
[ A purchase agreement is formed by:

3. Retention of title
[ All delivered raw materials & goods remain the property of RISK iT! until full payment is received.
Registration is reserved .]
4. Transfer of Risk

Price changes may occur due to:

No claims for consequential damages, production downtime, or lost profits .]
7. LIABILITY
